Throughout his career, he has worked closely with individual investors, private equity groups, family offices, institutional investors, and privately held business owners across the United States.
His unique ability to combine decades of commercial real estate experience with high-level business brokerage and mergers & acquisitions advisory creates a distinct advantage for clients navigating complex transactions, exit planning, and investment strategies.
Beyond his professional work, Mark is deeply committed to serving his community and actively supports numerous nonprofit and charitable organizations throughout South Carolina. He is the Past President of Rotary Greenville City Center and Past Worshipful Master (PWM) of Monaghan Lodge #251, both based in his hometown of Greenville.

John Kawalchuk serves as Senior Vice President at Topsail Capital Advisors, where he plays an integral role in guiding business owners through the complexities of sell-side transactions, acquisitions, and strategic exit planning. With a strong background in financial analysis and transaction execution, John works closely with privately held business owners to help maximize value and position their companies for successful outcomes.
His primary responsibilities include preparing comprehensive Confidential Information Memorandum (CIM) packages, conducting detailed industry and financial due diligence, and developing strategic recommendations for ownership and management teams. John is heavily involved in analyzing financial performance, identifying value drivers, assessing market opportunities, and ensuring each business is properly positioned for the marketplace.
Throughout every stage of a transaction from initial valuation and exit planning to due diligence, negotiations, and closing—John works directly with clients, buyers, attorneys, CPAs, and other professional advisors to maintain a smooth, organized, and efficient process. His strong analytical mindset, attention to detail, and client-first approach allow him to effectively navigate complex transactions while protecting value for ownership.

Mr. Wilson is a highly skilled finance and advisory professional with a strong background in SBA lending, business evaluation, and transaction support. As a former SBA loan associate, he developed extensive experience analyzing privately held businesses for financing eligibility, working closely with business owners, lenders, CPAs, and financial institutions throughout the underwriting and approval process.
His expertise in evaluating financial statements, organizing and presenting complex financial documentation, and securing approvals from reviewing entities has made him a valuable asset in both lending and advisory environments. Reese has demonstrated exceptional attention to detail in preparing financial packages and supporting documentation, ensuring clients are well-positioned for successful financing and transaction outcomes. His ability to work collaboratively with clients, lenders, and professional advisors has been instrumental in resolving complex situations, de-escalating challenges, and maintaining confidence throughout high-pressure transactions a key element to ensuring deals stay on track during the letter of intent to contract and close process.

Will serves as Direction of Strategy & Value on the Topsail Capital Advisory team. A graduate of Clemson University and the Siebel Institute/World Brewing Academy, Will brings more than 15 years of executive leadership and operational experience in manufacturing, beverage production, distribution, regulatory compliance, and strategic business management. His background includes expertise in sales and distribution, contract manufacturing, three-tier distribution systems, government compliance, operational efficiency, and public speaking and education within the beverage industry.
Will is also a Certified Exit Planning Advisor (CEPA®) through the Exit Planning Institute, a nationally recognized credential for professionals specializing in helping business owners maximize enterprise value and prepare for successful ownership transitions. He also holds a Scrum Master Certification and an OSHA 30-hour Safety Certification, reflecting his experience in structured project execution, team leadership, operational discipline, and workplace safety. He is a founding member of the South Carolina Brewers Guild and serves as a board member of the Master Brewers Association of the Americas (MBAA) Association of the Americas – Carolinas District.

As an Advisor/ Analyst with Topsail Capital Advisors, Ryan supports the firm’s M&A advisory and Exit Strategy & Value Acceleration practices, working alongside the senior deal team on engagements involving privately held mid-size and lower-middle-market companies across the United States.
Ryan assists throughout the transaction lifecycle, including business valuation, financial analysis, exit planning, acquisition analysis, buyer and market research, transaction preparation, and due diligence. On sell-side engagements, he supports the preparation and analysis of financial information, valuation materials, confidential marketing materials, buyer research, and transaction execution. He also works with the firm’s buy-side team in evaluating acquisition opportunities and supporting clients through the financial and strategic analysis of potential transactions.
As part of Topsail Capital Advisors’ Exit Strategy & Value Acceleration practice, Ryan works with business owners and the firm’s senior advisors to identify factors that influence enterprise value and transaction readiness. This includes evaluating financial performance, growth opportunities, owner dependency, customer and supplier concentration, recurring revenue, operational risks, and other factors that can impact valuation and marketability.
Ryan holds a BS degree in Finance from Wofford College.
Chip is a Gulf War U.S. Navy veteran with more than 30 years of entrepreneurial, business brokerage, and investment experience. Throughout his career, he has been directly involved in the acquisition, development, operation, and sale of privately held businesses and franchise systems, giving him a practical understanding of transactions from both the business owner’s and advisor’s perspective.
Since 1998, Chip has started, built, acquired, and sold businesses and franchise operations across a variety of industries, with particular experience in sales- and service-oriented companies. His background as an entrepreneur provides him with firsthand insight into the opportunities and challenges business owners face when evaluating growth, acquisitions, succession, and ultimately the sale of their companies.
In addition to his M&A advisory experience, Chip has an extensive background in commercial real estate and investment properties. He is licensed in North Carolina, South Carolina, and Georgia, allowing him to assist clients with commercial real estate acquisitions, dispositions, and investment opportunities throughout the Southeast.
Chip has also been an Associate Member of the North American Board of Certified Energy Practitioners (NABCEP) since 2018, further complementing his experience with businesses and real estate involving the energy and sustainability sectors.
Mr. Lawyer is an accomplished Equity Advisor, offering valuable advisory services to clients involved in sell-side deals. His role encompasses crucial responsibilities such as capital restructure, deal underwriting, and post-integration advisory. With a specialization in 1031 exchanges, Mr. Lawyer has honed his expertise in commercial real estate and business investment. He remains dedicated to professional growth and continuously stays updated on industry trends by actively participating in various association memberships. Mr. Layer serves as the Atlanta office Principal engaged in many areas of client management and procurement and exit planning and valuation.
Will holds a Bachelor of Science in Real Estate Investment & Finance from the prestigious Schack Institute of Real Estate at New York University and a Master’s degree in Real Estate Development from Georgia Tech University’s prestigious Master in Real Estate Development program
Mrs. Griffin holds the position of CFO and Advisor Coordinator for the Topsail Capital Advisors team, where she plays a pivotal role in overseeing various aspects of transactions and client relationships. Her responsibilities include managing the delivery of valuations, coordinating due diligence activities, and scheduling meetings between sell and buy side Advisors.
Jessica actively supports Topsail management by assisting with financial modeling, preparing Confidential Information Memorandum (CIM) packages, and managing client communications.
